Welcome to Drive Toolbox, a product and trade name of Clockwise Logic LLC, an Ohio Limited Liability Company (“Clockwise Logic,” “we,” “our,” or “us”).
These Terms of Service (“Terms”) govern your access to and use of the Drive Toolbox desktop application (the “App”). By using Drive Toolbox, you agree to these Terms. If you do not agree, do not use the App.
1. Description of the Service
Drive Toolbox is a desktop application that allows you to manage your Google Drive files and permissions elegantly, efficiently, and privately—from your own computer.
Drive Toolbox is extremely powerful, and it is possible to make mistakes. If you intend to utilize Drive Toolbox to make batch changes, such as batch deleting files that match certain criteria, we recommend that you consider backing up your entire Google Drive using Google Takeout prior to proceeding.
The App connects directly to Google’s Drive API using OAuth 2.0, enabling you to view, organize, download, delete, and manage permissions on files stored in your own Google Drive account.
Drive Toolbox is not affiliated with, endorsed by, or otherwise connected to Google LLC.
Drive Toolbox also includes an optional feature that can use a third-party large language model (“LLM”) plug-in to help generate filter syntax or search expressions. When used, only your prompt text (i.e., the question or filter request you type) is shared with the LLM service. No Google Drive data, file names, metadata, or contents are ever transmitted to any LLM or external service.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement and that you have the authority to accept these Terms.
3. Your Account and Authorization
To use Drive Toolbox, you must sign in with your Google Account through Google’s OAuth system.
You remain responsible for maintaining the confidentiality of your Google credentials and any activity that occurs under your account authorization.
By granting the App OAuth permissions, you authorize it to perform certain actions in your Google Drive (such as listing, downloading, or deleting files, and modifying file permissions). These actions occur only on your local device and, should you make changes, on your Google Drive. None of your Google Drive data is ever transmitted to our servers.
We do, however, retain limited non-sensitive Google profile information (your name, username, and email address) as described in our Privacy Policy. This information is used solely for user identification, communication, app authorization purposes, and the collection of anonymized, aggregate statistics as described in our Privacy Policy. Clockwise Logic LLC will never share or sell your name, username, or email address.
Note, however, that there are actions that Drive Toolbox can help you accomplish, such as changing a file's permissions to share it with a third person, which will result in Google Drive automatically sharing your file and your email address with the specified person. This is normal Google Drive API behavior: if you decide to share a file, it will be shared, and the person you share it with can see who owns the file, and who shared it with them. It is your responsibility to understand what the implications are when you use Drive Toolbox to change file or folder permissions, delete files or folders, download files or folders, and take any other action provided.
Drive Toolbox uses a modern OAuth 2.0 flow with Proof Key for Code Exchange (PKCE) and short-lived JWT-based session tokens. Your Google refresh tokens are encrypted at rest using industry-standard AES-256-GCM encryption and are never exposed to the desktop app. Access tokens are not stored; they are generated securely and on-demand. All communication between the app and the API occurs over TLS (HTTPS).
You may revoke this authorization at any time from your Google Account Permissions page.
4. Data Privacy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and safeguard your information. By using Drive Toolbox, you consent to our data practices as described in that policy.
In summary:
- We retain only limited, non-sensitive user data (your name, username, and email address).
- We do not collect or store your Google Drive files or metadata.
- All file operations occur locally on your device through the Google Drive API.
When using the optional LLM feature, you acknowledge that prompt text you provide will be sent to the third-party provider solely for processing that request, and that such providers are subject to their own privacy terms. Clockwise Logic LLC does not access or transmit your Google Drive data in connection with this feature.
5. Local Storage and Security
Drive Toolbox stores data locally on your computer, including your Google Drive metadata, authorization tokens, and any Google Drive files you choose to download. You are responsible for maintaining the security of your device and any data stored there.
Locally stored tokens are short-lived JWTs used solely for verifying app sessions. The app never stores access tokens, and all refresh tokens remain securely encrypted on our API side.
Clockwise Logic does not have access to your local data and cannot recover it if lost or deleted.
6. Billing, Payments, and Subscriptions
If you purchase a paid license or subscription, billing is processed securely by Stripe, Inc., our payment provider. Clockwise Logic LLC does not store your payment method details.
Subscription fees, renewal terms, and cancellation options are clearly displayed during checkout. Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle. You may cancel at any time from within the App or through our billing portal; cancellation will take effect at the end of the current billing period.
We do not typically offer refunds. If you wish to request a refund, please contact support@clockwiselogic.com. Each request is evaluated on a case-by-case basis in accordance with applicable law.
7. Prohibited Uses
You agree not to:
- Use Drive Toolbox for any unlawful purpose or to violate any applicable laws.
- Attempt to reverse engineer, decompile, or modify the App.
- Interfere with or disrupt the functionality of the App.
- Misuse the App in a way that could damage, disable, or overburden Google’s or Clockwise Logic's systems or networks.
Violation of these rules may result in termination of your access to the App.
8. Intellectual Property
The Drive Toolbox name, logo, software, and related materials are the property of Clockwise Logic LLC and protected by copyright and trademark laws. You are granted a non-exclusive, non-transferable, revocable license to use the App for personal or business purposes in accordance with these Terms.
You may not copy, distribute, sell, or sublicense the App without prior written consent from Clockwise Logic LLC.
9. Updates and Modifications
We may update or modify the App from time to time to improve performance, fix bugs, or enhance security. We may also update these Terms. If we make material changes, we will post the updated version and update the “Last updated” date above.
Your continued use of the App after changes are posted means you accept those changes.
10. Disclaimer of Warranties
The App is provided “as is” and “as available”, without any warranties of any kind, express or implied. Clockwise Logic does not guarantee that the App will be error-free, secure, or uninterrupted. Your use of the App is at your own risk.
11. Limitation of Liability
To the fullest extent permitted by law, Clockwise Logic LLC and its officers, members, and affiliates will not be liable for:
- Any indirect, incidental, or consequential damages,
- Loss of data, profits, or business,
- Or any other damages arising out of your use or inability to use the App.
Our total liability for any claim related to the App will not exceed the amount (if any) you paid for it.
12. Termination
You may stop using Drive Toolbox at any time by uninstalling the App or revoking its permissions from your Google account. We may suspend or terminate your access if you violate these Terms or misuse the App.
Upon termination, your rights to use the App end immediately.
13. License Integrity and Anti-Piracy Measures
Drive Toolbox and its underlying software are proprietary products owned by Clockwise Logic LLC. You receive a limited, non-exclusive, non-transferable, revocable license to use the App solely for your own personal or internal business purposes, subject to these Terms.
a. Prohibited Activities
You agree not to, and will not permit others to:
- Copy, modify, decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of Drive Toolbox, except as expressly permitted by applicable law.
- Circumvent, disable, or otherwise interfere with any license verification, authentication, or security mechanisms built into the App.
- Use, distribute, or make available any unauthorized or “unlocked,” “cracked,” or otherwise modified versions of Drive Toolbox.
- Share license keys, authentication tokens, or other access credentials with any third party.
- Use Drive Toolbox in a way that infringes any intellectual property rights or violates any applicable law or regulation.
b. License Validation and Security
Drive Toolbox may include technical measures designed to confirm that it is a genuine, properly licensed copy, including:
- secure communication with our licensing servers to verify user authorization;
- cryptographically signed license tokens; and
- tamper-detection and integrity-verification mechanisms.
These processes are used solely to validate license integrity and protect against unauthorized or harmful use. They do not collect or transmit any Google Drive content or metadata.
c. Revocation
Clockwise Logic LLC reserves the right to revoke or disable any license or account that has been obtained fraudulently or used in violation of these Terms. We may also block access to the App for users who distribute or enable unauthorized versions.
d. Enforcement and Reporting
Unauthorized reproduction, modification, or distribution of Drive Toolbox constitutes a violation of intellectual property laws and may result in civil and criminal penalties. If you become aware of any unauthorized use or distribution, please notify us at support@clockwiselogic.com.
14. Ownership Transfer / Business Sale
In the event that the Drive Toolbox business or Clockwise Logic LLC is sold, merged, or otherwise transferred to another entity, any limited non-sensitive Google profile information we retain (such as name, username, email address, and avatar URL) may be transferred as part of the business assets.
Any successor or acquiring entity will be bound by the same privacy commitments described in our Privacy Policy and will use your information only to provide the App and related services. Your information will not be sold, rented, or shared for unrelated commercial purposes.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles.
Any disputes arising under these Terms shall be resolved in the courts located in Columbus, Ohio.
